Please read these Terms of Service carefully before using Venderaa. These Terms constitute a legally binding agreement between you and Venderaa.
1. Acceptance of Terms
By accessing or using the Venderaa platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, vendors, and others who access or use the Service.
2. Description of Service
Venderaa provides a software-as-a-service (SaaS) eCommerce platform that enables vendors to create and operate online stores, manage products, process orders, and accept payments. The Service is accessible via web browser at venderaa.com and related subdomains.
3. Eligibility
You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age, and that your use of the Service does not violate any applicable law or regulation.
4. Accounts and Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.
5. Subscription Plans and Payments
Venderaa offers various subscription tiers. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change pricing with 30 days' prior notice.
6. Vendor Responsibilities
As a vendor on the Venderaa platform, you are solely responsible for: (a) all products and services you list and sell; (b) ensuring your products comply with all applicable laws and regulations; (c) providing accurate product descriptions, prices, and availability; (d) fulfilling orders promptly and professionally; (e) handling customer service and returns for your store; (f) all taxes applicable to your business activities.
7. Prohibited Content and Conduct
You agree not to use the Service to: (a) sell counterfeit, illegal, or prohibited goods; (b) engage in fraudulent activity; (c) harass, threaten, or harm other users; (d) upload malicious code or interfere with the platform; (e) violate any applicable laws or regulations; (f) infringe upon intellectual property rights of third parties; (g) sell adult content, weapons, drugs, or other prohibited items.
8. Intellectual Property
Venderaa and its licensors own all intellectual property rights in the Service, including software, designs, logos, and content. You retain ownership of the content you upload to your store (products, images, descriptions). By uploading content, you grant Venderaa a non-exclusive, royalty-free licence to use, display, and process that content solely to provide the Service.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
10. Termination
Either party may terminate your account at any time. You may close your account through your vendor dashboard settings. Venderaa reserves the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your access to the Service will cease and your data may be deleted after a retention period.
11. Limitation of Liability
To the fullest extent permitted by law, Venderaa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the Service. Our total liability to you for any claims arising from the use of the Service shall not exceed the total amount paid by you to Venderaa in the three months preceding the claim.
12. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Venderaa does not warrant that the Service will be uninterrupted, error-free, or completely secure.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the platform at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
